Job Description
Be part of the East African distribution team which is in turn part of a wider global distribution team in (South Africa, West Africa and International (London) dedicated to arranging syndicated debt funding solutions, distributing loans and structured credit products originated by Coverage and Product teams for CIB clients within the key industry and product groups including: FMCG, Telecom & Media, Oil & Gas, Energy & Infrastructure, Real Estate Finance, Public Sector and all other CIB client franchise, whilst working very closely with the associated product teams including: Corporate Financing Solutions, Energy and Infrastructure, Real Estate Finance amongst others.
Be involved in deals from inception to close – working with origination teams to ensure appropriate structuring and pricing of transactions to market, advising and developing a “sell down” strategy whether it be via a primary syndication, a sale in the secondary market, managing a small club of banks etc.
Majority of time is spent in multiple inter-facing meetings including: deal teams, external market investors for primary and secondary bookrunning purposes (market soundings where relevant) and client facing meetings.
Working with senior members of the Distribution team, guide IB deal teams to structure debt products for distribution and provide pricing guidance, based on knowledge of the market and experience across a broad spectrum of transactions. This is important to ensure Standard Bank is competitive in the pricing and structuring of its debt product offerings versus other banks which are active in the market. It also ensures the structure of the transaction is palatable to other investors, thereby allowing the bank to reduce its exposure to the transaction should it need to.
This action accomplished through detailed discussions with deal teams at an early stage in the transaction’s development, and through the provision of Distribution Commentary for inclusion in NBAC and Credit Committee applications. Distribution is an active participant in discussions at Global and Regional NBACs and at Credit Committees and Quarterly GovCo meetings. These all contribute and drives the decision in terms of whether the bank is willing to take underwriting risk on transactions. Prepare distribution comments for NBAC and Credit.
Attend coverage and product team meetings, stay up to date with activity in the market and share knowledge gained with rest of team. Be an industry specialist in the context of investor appetite in understanding the major market and economic drivers impacting the investor appetite and trends that will dictate the Distribution’s ability to underwrite and syndicate facilities.
Engage with the investor market and establish long-term relationships with co –lead Arranging Banks for syndicated loan financing transactions; develop a diverse global investor base from commercial Banks to non-Bank Financial institutions including: developmental financial institutions, hedge funds, asset managers, pension funds,etc..
Maintain relationships with key investors and competitors (other banks). The role also requires the balancing of internal interests with those of our key investors. This is important to ensure SB remains in touch with the market, that it understands which assets its clients are looking for, and that we are showing the right assets to the right investors. Accomplished through ongoing strategic dialogue with investors and the development and maintenance of mutually respectful and honest relationships.
Assist in managing syndication process, co-ordination of preparation of syndication materials with deal team and client, arrange banking meeting and set up book running sites on Debt Domain if relevant.
Manage the book running process including the communication and co-ordination with joint co-arrangers and book runners. Contribute to bi-weekly and update monthly report on transactions responsible for Credit Governance Committee. Internal reporting (tracker, sell down reports etc) and effective communication across the global distribution and structuring teams
Assist in the execution of secondary sales where relevant.
Assist in the development of alternative forms of distribution through co-ordination of this process involving different areas of expertise (Global Markets, Securitisation, Debt Solutions).
