Role Profile:
The role is within the Finance Department. The purpose and context of the role is: Develop, maintain and review policies for Compliance Program’s general operation to prevent improper, unethical and illegal conduct; Collaborate with departments to direct compliance for investigation and resolution and consult with retained attorney to resolve complex legal compliance issues; Handle rules, regulations and policy violation and review and suggest investigative procedures initiation; Develop and monitor violation-handling system including whistle blower system; and develop and review Standards of Conduct to guarantee continuing currency and guide management and employees.

Key Responsibilities:
• Lead complex legal projects that span legal, business, and functional boundaries (e.g., cross geographies, subject matter areas, jurisdictions, organizations and business models).
• Develop and implement self-assessments, identify gaps and create corrective action plans that will support compliance across Kyosk group.
• Provide counsel to staff in all departments on a variety of complex issues. Identify, research, and analyze legal issues that affect the Organization and its activities at the local, and international levels associated with the Organization’s activities, ongoing operations, and strategic initiatives, including but not limited to, revenue diversification, and jurisdictional and programmatic expansion. Develop and implement staff-friendly plans, systems and procedures.
• Manage outside counsel in litigation matters and coordinate internal requirements in connection with litigation.
• Provide ethics and compliance training and counsel to group employees.
• Drafting and negotiating simple and complex contracts with third parties.
• Advising on general business law issues and managing legal issues including corporate matters, procurement, health and safety and governance.
• Advising on data protection and privacy matters in line with GDPR laws.
• Report back to business functions on current risk and compliance performance, highlighting or escalating areas of concern and contribute to robust and effective compliance controls within the organisation.
• Review marketing materials, presentations and websites to ensure compliance with regulatory requirements.
• Assist in the gathering of internal information in response to regulatory requests.
• Acting as Complaints Handling Officer for all complaints made against the organisation, its members and/or its staff.

The successful candidate will be responsible for the provision of company secretarial functions to the Board, provision of legal advice, litigation management, regulatory compliance, contract preparation and implementation of good corporate governance among other duties.

Key responsibilities
• Provision of secretarial services to the Board.
• Advise the Board and Management on all aspects of the Company's business.
• Co-ordinate litigation management and appointment of external lawyers.
• Ensure that contractual risks are efficiently managed.
• Co-ordinate the procurement of insurance services and their administration.
• Co-ordinate and ensure representation of the Company in courts or other judicial authorities.
• Oversee development of preventive legal policies. and strategies aimed at forestalling disputes, controversies and litigation.

Person specifications

• A minimum of a Master's Degree in Law.
• A Bachelor of Laws degree from a recognised legal institution.
• Must be an Advocate of the High Court of Kenya
• Must be a Certified Public Secretary.
• A minimum of fifteen (15) years of relevant work experience with five (5) years at a managerial position in a public or private firm.
• Must be a member of Law Society of Kenya in good standing.
• A leadership course lasting not less than four (4) weeks from a recognised institution will be an added advantage.

Job Description Summary
• You will support the GE HealthCare business leadership in Sub Saharan Africa (SSA) through the development and implementation of a government affairs and market access strategy for the SSA region with a focus on Kenya, Nigeria, South Africa, Ethiopia, Mozambique, Zambia and Uganda. Represent the company to key public decision makers at local, national and regional level and identify and create commercial opportunities in public markets. Shape the health care policy environment and protect the business from political and regulatory developments that may have a negative impact on business operations. The position will report functionally to the Executive Global Government Affairs and Policy Leader, will be a member of the Global Government Affairs and Policy Team and the Sub Saharan Africa Leadership Team.

Job Description
Responsibilities:

• Develop and implement a government affairs and market access strategy to promote and protect GE HealthCare through engagement with Sub Saharan Africa political entities with a focus on Kenya, Nigeria & South Africa, including government, legislative, administrative and regulatory bodies as well as international organizations.
• Identify commercial opportunities in the public sector and develop these in partnership with business leaders from successful closure to execution and address bottlenecks. Lead the engagement with governments and international organizations in deals where these entities are an instrumental stakeholder.
• Work closely with the GE Healthcare country GMs, business unit leaders, partnerships & solutions, healthcare finance, regulatory affairs, legal and marketing teams across the region to develop policy positions and business development opportunities.
• Identify possible deterrents and threats to GE HealthCare in key markets and the region and partner with the EMEA and Global Government Affairs team to formulate strategies to mitigate these risks. Lead and support functional assignments on an ad-hoc basis within the EMEA and Global Government Affairs team.
• Track emerging national and international laws and subsequently work with internal and external stakeholders to develop strategies that allow GE HealthCare to mitigate impact and adapt to required changes.
• Engage within key trade associations and the diplomatic corps (US Embassy, etc) in the region to ensure GE HealthCare’s leadership on key industry issues and initiatives, represent the company in public conferences and meetings.
• Secure key meetings for GE Healthcare leadership with key stakeholders in the Healthcare industry.
• Drive partnerships with government stakeholders at various levels to increase GE HealthCare brand visibility and thought leadership and identify and deliver opportunities to position the company in the field of health policy, health care technology and innovation at conferences, events and political meetings.

Qualifications and Requirements:
• 10 years’ experience in government, government affairs, business development, interacting with Sub Saharan Africa government officials and international political and financial organizations impacting healthcare investment and public health delivery.
• Deep understanding of the Sub-Saharan Africa health care systems especially in the public sector.
• Demonstrated understanding of government policy development and decision-making processes, including ability to identify and have access to key policy makers.
