Corporation Secretary/Director Legal Services
GRADE 2 ONE (1) POST
The Corporation Secretary /Director Legal Services is responsible to the Board and the Director General for providing Secretarial services to the Council, Board of Directors and is the principal legal advisor to the Authority on Litigation, Prosecution, Contracts, Regulations, Alternative Dispute Resolution and the principal governance advisor relied upon by the Council, Board of Directors and management on Governance issues.
Duties and Responsibilities
Specifically, duties and responsibilities will entail:
• Develops and reviews relevant regulatory Legal framework in accordance with the Authority’s mandate;
• Ensures Legal Audit Compliance is carried out to confirm compliance with relevant statutory requirements;
• Oversees the Board operations compliance with Mwongozo;
• Ensures the Authority’s interests is safeguarded through provision of adequate defense before the courts;
• Ensures the Authority complies with constitutional, regulatory and relevant statutory laws in force;
• Coordinates the development, implementation and management of
• the authority’s Codes, Regulations, Rules, Guidelines, By-Laws and Treaties;
• Coordinates the establishment and operationalization of the
• Authority’s Alternative Dispute Resolution Mechanism;
• Develops a Risk management for the Authority’s internal legal and regulatory matters;
• Ensures legal relations with Authority’s tenants and other stakeholders are maintained;
• Develops and validates policy papers and instruments with legal implications for approval by the Authority;
• Ensures formulation and implementation of strategies on litigation, prosecution and arbitration;
• Coordinates the development and implementation of directorate’s work plan and deliverables;
• Coordinates all litigation, arbitration and prosecution matters in
• liaison with the Attorney General's Chambers, Government Ministries and with relevant stakeholders;
• Ensures compliance with contractual agreements, legislation,
• administrative circulars/executive orders and legal/governance requirements;
• Oversees research on emerging legal issues and advising the Authority accordingly;
• Coordinates the Board of Directors induction;
• Updates Board and Committee charters;
• Coordinates Board evaluation with the State Corporations Advisory
• Committee and external governance audit on behalf of the Board;
• Ensures the timely preparation and circulation of Board and Committee papers;
• Develops and Maintains safe custody of Board and committee minutes;
• Maintains and updates all Board and committee registers;
• Oversees drafting and implementation of all Authority’s commercial contracts;
• Custodian of the Authority’s seal;
• Prepares and updates the Directorate’s asset register;
• Provide legal advice to the Authority;
• Reviews Leases, Contracts, Licensing Frameworks, Service Level
• Agreements, Memorandum of Understanding and other legal
• documents to ensure compliance to statutory requirements;
• Liaises with the Attorney General, law enforcement agencies and
• stakeholders on all legal matters;
• Drafts and facilitates gazettement of Rules, Regulations and
• Directives issued by the Authority;
• Establishes and manages the Legal Registry;
• Keeps custody of the Authority’s Securities, bonds and other
• proprietary instruments resulting from the Authority’s transactional activities;
• Provides and interprets legal information
• Sensitizes the staff on legal matters;
• Monitors, reviews and manages progress on outstanding litigation cases;
• Sensitizes stakeholders on use of authority’s Alternative Dispute Resolution mechanism;
• Prepares regulatory checklists to ensure information and
• documentation is uniformly, accurately and timeously submitted to the Authority;
• Communicates Board resolutions to Management for implementation;
• Liaises with the functional units on queries for legal matters that may arise on the Authority’s affairs;
• Implements performance contract for the Directorate.
Requirements for Appointment
For appointment to this grade, an officer must have:
• A Minimum of twelve (12) years relevant work experience and at least four (4) in a senior management role in the Public Service or Private Sector;
• Master’s Degree in any of the following disciplines: Law, Business Administration, Public Administration or equivalent qualifications from a recognized institution;
• Bachelor of Laws degree or equivalent qualifications from a recognized institution; and
• Postgraduate Diploma in Law from the Kenya School of Law;
• Admitted as an Advocate of the High Court of Kenya;
• Hold a valid practicing certificate;
• Member of the Law Society of Kenya
• A Certified Public Secretary CPS(K)
• Leadership Course lasting not less than four (4) weeks from a recognized institution.
