JOB DETAILS:
Head of Legal Compliance
Job Purpose

To promote continuity in the company’s operations by developing legal and compliance strategies to minimize exposure to potential litigations and adverse impact on business objectives, and to provide guidance to the Legal team and internal stakeholders.

Key Responsibilities
• Establish the company’s enterprise legal strategy by developing framework, principles, and policy in line with Group direction.
• Establish and drive the company’s compliance programme
• Defines in conjunction with the CGM and Group Head of Legal Compliance the risk appetite, tolerance level and limits for the organization as well as all processes, products and projects
• Provide compliance and regulatory input on the design and restructuring of new products and systems and ensure they conform to local regulatory requirements and internal compliance and ethical standards, and to assist in projects undertaken by the company locally or Groupwide
• Ensures timely incorporation of relevant laws, regulations and codes of best practices into the company’s governance system.
• Procure compliance by staff with the letter and spirit of policies and procedures, and the Group Code of Conduct
• Ensures the organization implements and maintains appropriate IT, business & regulatory certifications
• Oversees internal preparation for audit and ensures timely responses to request during relevant regulatory assessments/ reviews
• Communicating effectively internal policies/ guidelines and regulatory requirements, proactively alerting on compliance issues, implementing departmental operating instructions to ensure compliance with internal /Group policies and external regulatory requirements and coordinate regulatory inspections.
• Ensure inventory of laws and regulations is adequately maintained and updated
• Assist the business to create and maintain a compliance culture through sample testing of compliance monitoring undertaken, training, undertaking periodic compliance focused self-assessments, generating accurate and timely compliance reports, handle queries to operational compliance, updates compliance monitoring plan and new matrices, and assess regulatory risks and ensure that controls exist to mitigate them.
• Providing proactive in-house compliance advice to management and staff on regulatory, reputational and ethical matters, including updates to management and staff on regulatory and compliance developments relevant to the Group’s business.
• Monitoring developments in the law through legislation and precedent and advising management of the impact of such changes (positive or negative).
• Play critical role and provide required support in regulatory relationship management
• Ensure all regulatory returns are filed with relevant regulators as and when due.
• Prepares and implements the division’s annual plan and budgets
• Liaise with and maintain good and professional relationships with the approved panel of external lawyers.
• Monitor company’s litigation portfolio and ensure company is adequately represented in all law suits.
• Oversees and signs off on all new business contracts or modifications of existing business contracts
• Ensures all contracts are securely stored and provides controls for their access
• Ensures all contracts remain valid and in compliance with relevant law
• Preparation and submission of Group legal & compliance periodic reports/returns

Academic Qualification
University / Post Graduate (Masters Degree) - a Qualified Lawyer, with a Law
Degree from a reputable university and a practicing license.

Professional qualifications
• Certified Public Accountant (CPA)
• Association of Certified and Chartered Accountants (ACCA

Experience
• At least 10 years legal experience as a practice lawyer in a commercial reputable law firm or as an in-house counsel; with cognate experience in corporate and commercial transactions, employment law, dispute resolution and regulatory affairs / compliance management and managing legal teams. The experience should also include; Solid knowledge and understanding of regulatory framework and relevant legal matters related to the financial services, technology and/or Fintech sectors, including understanding of the current technology and innovation trends.
• Experience in banking and finance / financial services / Fintech / Corporate M&A / data privacy / payments or technology industry preferred.
• Experience in dealing with early-stage issues encountered by fast-growing businesses in relevant sector preferred.
